(CD LLC, Capri Development and the CD LLC Logo are collectively referred to as the “CD LLC Trademarks? are trademarks of Capri Development in the United States and other countries. All rights reserved. By accessing or using the CD LLC Trademarks, you agree to be bound by the Terms and Conditions of Use set forth below. Any other copying, redistribution, retransmission or publication of any printed or downloaded material is strictly prohibited.
Terms and Conditions of Use:
Limited Copies. You may print and download the CD LLC Trademarks (one machine-readable copy and one print copy) solely for your own non-commercial use. You may not use any other Capri Development logos, slogans or trademarks.
Attribution. You must include the following notice on each of your electronic and printed publications that include any CD LLC Trademark: ?CD LLC? “Capri Development?and “Capri Development and freeform?design are trademarks of Capri Development?
Manner of Use. You may only use the CD LLC Trademarks for non-commercial purposes. You may not use the CD LLC Trademarks in any manner that implies Capri Development sponsorship or endorsement of you or your company, or your products or services. You may not use the CD LLC Trademarks more prominently than the logo or company name of any other entity, and in no event more prominently than your company, product or service.
No Alteration. You may not alter or remove any trademark or other legal notice from copies of the CD LLC Trademarks or associated materials. You may not alter the appearance of the CD LLC Logo. You may alter the size of the CD LLC Logo, but cannot skew or stretch it in a manner that corrupts its appearance.
No Disparagement. You may not use the CD LLC Trademarks to disparage Capri Development, its officers, directors, employees, and affiliates, their respective products or services, or in connection with any products or services that may diminish or damage the goodwill in Capri Development's name or the CD LLC Trademarks. In particular, do not associate the CD LLC Trademarks with any website or printed matter that is defamatory, malicious, libelous, threatening, harassing, profane, obscene, pornographic, violent or that encourages unlawful activities.
Acknowledgement of Rights. You acknowledge that the CD LLC Trademarks are valid trademarks of Capri Development and that a valid copyright subsists in the CD LLC Logo, and that you gain no right, title or interest in the CD LLC Trademarks by virtue of these Terms of Use.
Indemnification. You agree to indemnify, defend and hold harmless Capri Development, its officers, directors, employees, and affiliates from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation by you of these Terms and Conditions of Use.
Effects of Breach. If your use of the CD LLC Trademarks violates these Terms and Conditions of Use, Capri Development shall be entitled to injunctive relief and Capri Development may seek such additional relief as the circumstances of your misuse indicate is proper, in Capri Development's discretion. This Agreement is governed by the laws of the State of Illinois, regardless of conflicts of laws principles, and you hereby irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Chicago, Illinois to resolve any controversy that may arise under these Terms and Conditions of Use.
Modification of Terms. Capri Development may modify these Terms and Conditions of Use at any time, without prior notice, and any such modifications shall be effective immediately upon posting of such modification on this site. You agree to review the Terms and Conditions of Use periodically to be aware of such modifications and your continued access or use of the CD LLC Trademarks shall be deemed your conclusive acceptance of the modified Terms and Conditions of Use.
